Terms of Service

These Terms govern digital production, content, and ecommerce development services provided by ETERN8.

By using the site, requesting services, or accepting a proposal, you agree to these Terms.

If a signed agreement or statement of work exists, that document controls to the extent of conflict with these Terms.

Scope, timeline, and deliverables are defined in a proposal, statement of work, or written correspondence.

Delivery is deemed complete when agreed deliverables are made available through designated channels.

Any dates are estimates unless explicitly stated as binding in writing.

Client must provide accurate source materials, rights-cleared assets, and timely approvals required for production.

Client is responsible for legal compliance of supplied materials, claims, and product information.

International pricing is quoted in USD for EN/AR locales unless otherwise agreed in writing.

Fees, milestones, and due dates are set in the applicable proposal or invoice.

Late or missed payment may suspend work and delivery. Client is responsible for applicable taxes and charges unless stated otherwise.

Included revisions are limited to the package or scope explicitly purchased.

Out-of-scope requests, extra rounds, or strategy changes require written approval and may be billed separately.

Client represents it has rights and permissions for all materials provided to ETERN8.

Subject to full payment, usage rights in final deliverables transfer according to the approved scope. Pre-existing tools, frameworks, methods, and know-how remain ETERN8 property unless expressly assigned.

ETERN8 may display non-confidential deliverables in portfolio and marketing materials unless restricted in writing.

Projects may rely on third-party platforms and services (for example hosting, analytics, marketplaces, payment providers, logistics, or social networks).

ETERN8 is not liable for outages, policy changes, account restrictions, or feature limitations imposed by third parties.

Each party must use the other party confidential information only for project purposes and protect it with reasonable care.

Confidentiality obligations do not apply to information that is public, independently developed, or lawfully received from another source.

Services are provided on a professional-effort basis and do not guarantee specific business results, rankings, or sales outcomes.

To the maximum extent permitted by law, ETERN8 is not liable for indirect, incidental, special, consequential, or punitive damages.

Aggregate liability for any claim related to a specific order is limited to fees paid for that order.

Client agrees to indemnify and hold ETERN8 harmless from third-party claims arising from client-supplied materials, unlawful instructions, or breach of these Terms.

Either party may terminate for material breach if the breach is not cured within a reasonable period after written notice.

Upon termination, client pays for work performed and approved expenses incurred up to the termination date.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.

Exclusive venue for disputes is state or federal courts located in Delaware, unless mandatory law requires otherwise or the parties agree otherwise in writing.

If any provision is unenforceable, remaining provisions remain in effect.

Failure to enforce a provision is not a waiver. These Terms may be updated from time to time by publishing a revised version on the site.
